Terms of Service

Please review these Terms of Service carefully. By using our services, you agree to be bound by these terms and conditions.

1. Introduction

This website at https://magentacares.com is owned and operated by Magenta Care LLC, referred to as "Magenta Care," "we," or "us." Magenta Care is a licensed home health agency headquartered in Washington State, providing specialty infusion nursing services across multiple states.

This website, along with the Magenta Care application, is collectively known as the "Platform." Magenta Care provides the Platform, as well as associated services including coordination of home infusion nursing care (referred to as the "Service"). The Service connects patients, referring physicians, and specialty pharmacies with qualified infusion nurses in their area.

By using this website at https://magentacares.com or https://home.magentacares.com, clicking "I Agree" when prompted, or utilizing any other acceptance protocol, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms of Service.

Arbitration Notice

Important: By accepting these Terms of Service, you consent to resolve disputes through binding, individual arbitration. You waive your rights to a jury trial and to participate in a class action lawsuit, as further detailed in Section 12 of this document.

2. Acceptance of Terms

Your access to and use of the Service are subject to this Agreement, as well as applicable laws and regulations. If you do not agree to all the terms of this Agreement, you are strictly prohibited from visiting, accessing, registering, or using the Service.

The Service is continually evolving, and we reserve the right to revise or remove any part of this Agreement or the Service at our sole discretion, without prior notice. Any changes to this Agreement become effective upon posting on this page.

3. Your Relationship with Us

Magenta Care is a licensed home health agency that employs and contracts with qualified registered nurses to provide specialty infusion therapy services in patients' homes. While Magenta Care provides nursing services, we operate under the direction of prescribing physicians and in coordination with specialty pharmacies.

Important: Magenta Care does not practice medicine, diagnose conditions, or prescribe medications. Your relationship with Magenta Care is a provider-patient relationship for nursing services. Your relationship with prescribing physicians is separate.

Magenta Care is responsible for the nursing services provided by its staff but is not liable for medical decisions made by prescribing physicians or products dispensed by pharmacies.

4. Protected Health Information

When creating an account with Magenta Care, you establish a direct patient relationship with us for nursing services. Basic account information (name, email, address, phone number) is not considered "health" or "medical" information.

As a licensed home health agency providing nursing services, Magenta Care may be considered a "covered entity" or "business associate" under HIPAA. We maintain HIPAA-compliant policies and procedures to protect your health information.

Any medical or health information you provide will be used and disclosed in compliance with HIPAA and applicable state laws.

5. User Accounts & Security

You are obligated to register and create an account on the Platform to access the Service. You are responsible for:

  • Maintaining accurate and up-to-date account information
  • Maintaining the confidentiality of your username and password
  • Logging out of your account after each session
  • Promptly informing us of any unauthorized use of your account

6. Payments & Billing

Insurance: Magenta Care works with specialty pharmacies and healthcare providers who may bill your insurance for medications and related services. Nursing service fees may be billed separately. Please contact us or your specialty pharmacy for specific billing questions related to your insurance coverage.

You agree to pay all fees for services as presented to you during transactions. Prices are subject to change at our discretion.

All monetary transactions on the Service occur through Stripe, our third-party payment processor. Additional information about Stripe's privacy policy can be found at https://stripe.com/privacy.

You may be responsible for copays, deductibles, or fees not covered by insurance. If you do not have insurance coverage, you may be responsible for the full cost of services.

7. Prohibited Use

You are prohibited from using the Service for unlawful, unauthorized, fraudulent, or malicious purposes. While using the Service, you agree not to:

  • Upload harmful, threatening, abusive, or inappropriate content
  • Create false identities or impersonate others
  • Upload files containing viruses, malware, or similar software
  • Violate any applicable local, state, national, or international law
  • Upload material that infringes on intellectual property rights
  • Attempt to breach the security of the Service or related systems
  • Use automated means to access, copy, or reproduce content

Magenta Care reserves the right to suspend or terminate access for violations.

8. Third-Party Services

Parties other than Magenta Care, including Labs, Pharmacies, and Physician Groups, provide services or sell products through the Service. Your interactions with Third-Parties, including payments and product or service delivery, are solely between you and the Third-Parties.

Magenta Care is not responsible or liable for any losses or damages incurred due to interactions with Third-Parties.

9. Termination

Magenta Care reserves the right to terminate your use of the Service at any time and for any reason, without prior notice. This may include situations where your conduct violates this Agreement or if we discontinue the Service. Upon termination, provisions concerning security, copyrights, disclaimers, liability limitations, and arbitration shall remain in effect.

10. Disclaimers & Limitation of Liability

The Service is provided "as is" or "as available." Users access the Service voluntarily and at their own risk. To the fullest extent permitted by law, Magenta Care disclaims all warranties and conditions, whether express or implied.

Limitation: To the maximum extent allowed by law, Magenta Care will not be held responsible for any incidental, indirect, special, exemplary, or consequential damages. Magenta Care's liability will only extend to actual damages incurred by you, not exceeding $1,000.

Any claims related to your use of the service must be filed within one year of the incident.

11. Indemnification

You agree to protect, indemnify, and absolve Magenta Care from any legal actions, claims, costs, and obligations arising from your use of the service, fraudulent activities, law violations, or breaches of this agreement. Magenta Care reserves the right to manage the defense of third-party claims.

12. Binding Arbitration / Class Waiver

Both you and Magenta Care agree that any legal claims or disputes arising from the service will be settled through confidential binding arbitration conducted by the American Arbitration Association (AAA) rather than in court.

Location: Arbitration will be conducted in Seattle, Washington. If your residence is not within 100 miles of Seattle, the arbitration may occur within 100 miles of your residence.

Class Waiver: All disputes must be arbitrated on an individual basis, not on a class, collective, or representative basis. Neither party can bring an arbitration claim as a plaintiff or class member in a purported class action.

Before initiating arbitration, you must send Magenta Care a written Notice of Dispute including your name, residence address, email address, a detailed description of the dispute, and the relief you seek.

13. Governing Law & Jurisdiction

Magenta Care is headquartered in Washington State and operates the service from Washington, providing nursing services across multiple states. Nursing services are only provided in states where Magenta Care is licensed to operate.

This agreement's validity, interpretation, construction, and performance are governed by the Federal Arbitration Act and the laws of the State of Washington, without consideration of conflict of law provisions.
